Terms of business
The whole document, published before you are asked to sign it. Nothing in the version you sign differs from this one.
1. Who these terms are between
These terms are between Kalotect Ltd, trading as Kalotect, registered in England and Wales, company number pending, registered office Riverhead, Sevenoaks, Kent (“we”), and the business named in the proposal (“you”). The proposal, the plan attached to it and these terms together form the agreement. Where the proposal and these terms differ, the proposal wins.
2. What we will do
We will do the work set out in the proposal, to the standard described on this site, and record every action in your Ledger with its reason and its evidence. Where the proposal names a package, what that package includes is the list published on our pricing page on the day the proposal was sent.
3. Prices and payment
Prices are fixed in the proposal. Site projects are paid in four parts: 50 per cent on signing, 20 per cent when you approve the design, 20 per cent when the build is complete, and 10 per cent at go-live. The go-live payment is taken only after the previous ninety per cent has been paid. Work outside a project is charged at £760 a day or £120 an hour, agreed in writing before it starts.
Retainers, Care and modules are monthly in advance, by Direct Debit where you are a UK business, by card otherwise. Invoices are due fourteen days from issue. We send three reminders before a late invoice becomes a ticket, and we do not add interest without telling you first.
Prices exclude VAT. We are not yet VAT registered; VAT will be added to new invoices once we are, and we will tell you before it applies.
Third-party costs we buy on your behalf — domains, licences, stock, advertising spend — are passed on at what they cost us, listed separately, and agreed before we buy them.
4. Approvals and decisions
A project runs through 10 milestones. 10 of them carry an approval that is yours to give: Kick-off, Discovery, Structure, Direction, Design, Content, Build, Quality, Launch, After launch. An approval is one tap in your admin, or an email if you prefer, and it is recorded with the version you approved.
Where we need a decision from you we ask it as a question with options, a recommended default and a date. If we have not heard from you by that date we proceed with the default and record that we did. That keeps the work moving without anyone having to chase you, and every default that applied is visible in your Ledger.
5. What we need from you
Content, access to the accounts the work needs, and a person who can decide. We will ask for these at kick-off and list them in the plan. Where they are late the dates move, and we will tell you by how much rather than absorb it silently.
6. Your accounts stay yours
We never create an advertising, analytics, search or social account in our own name for your business. The accounts are yours and you grant us access to them. When we stop working together you remove that access and everything stays where it is, with its history.
7. Ownership
When you have paid in full, the design and the code we wrote for you are yours, together with the domain and the content. We keep ownership of the tools and components we use across every client, and grant you a licence to use them for as long as you use what we built. Assets we license on your behalf are subject to their own licences, which we will name.
8. Care and cancellation
Care starts at go-live and includes the first month with every site we build. It runs month to month: Care Essential at £180 a month, Care Plus at £450. You can cancel Care, a retainer or a module in one click in your admin. Cancellation takes effect at the end of the period you have paid for, and nothing is taken after that.
A module starts with 30 days free. We email you 3 days before it ends with what the charge will be and how to stop it. You have 14 days to change your mind about anything new you agree to. After you stop, your data stays available to export for 90 days.
A project can be stopped by either of us in writing. You pay for the milestones reached and the work done up to that point; we hand over everything produced so far and close the record properly.
9. Our promises, and their limits
We will do the work with reasonable skill and care, to the standard published on this site. We do not promise a position in a search engine, a number of enquiries or a level of sales, because nobody can promise those honestly.
Neither of us limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited. Otherwise our liability for any claim is limited to the fees you paid us in the twelve months before the claim, and neither of us is liable to the other for loss of profit, loss of business or indirect loss.
10. Information and confidentiality
Each of us keeps the other’s confidential information confidential. We process personal data as described in our privacy notice, as your processor where we act on your instructions, and we will sign the data processing terms your own obligations require.
11. Publicity
We publish a case study only with your written approval, given in your admin, and that approval is itself an entry in your Ledger. You can ask us to take it down and we will, within five working days.
12. How we use models
Some of the work is done by software and by agents, inside budgets, with a person approving anything you see. Nothing invented is presented as real, AI involvement is disclosed where it needs to be, and nothing is published without a copy audit certificate. The AI disclosure sets this out in full.
13. If something goes wrong
Tell us. Write to hello@mail.kalotect.com or raise a ticket in your admin. We will acknowledge within one working day and answer properly within five. If we cannot agree, these terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
14. Changes to these terms
We publish the version and the date at the top of this page. A change applies to work agreed after it is published; work already agreed runs on the version you signed, which we keep and can send you. A proposal is valid for the period stated on it, and our promise to send one within 2 working days of a completed brief applies from the moment the brief is finished.
Example: on Launch at £4,800, the deposit is £2,400, the design payment £960, the build payment £960 and the go-live payment £480.
